Terms and Conditions
These Terms and Conditions govern your access to and use of the CounselCopilot services. If you have entered into another agreement with CounselCopilot, that agreement may have precedence over these terms.
CounselCopilot, a division of Digitbite LLC (“we”, “us”, “our”), offers legal technology solutions. This document, the Terms and Conditions (“Terms”), outlines the rules for your use of CounselCopilot’s services, including our artificial intelligence functionalities (“AI Services”), websites, applications, extensions, components, features, and any services outlined in mutually agreed upon order forms (collectively, “Services”). These Terms, along with any applicable pricing schedules and order forms agreed upon by both parties (“you” or “User”), constitute the “Service Agreement”. The Service Agreement includes this document, the CounselCopilot Privacy Policy, and any other documents incorporating these Terms.
By clicking “I agree”, demonstrating acceptance through other actions, or utilizing the CounselCopilot Services (with or without registration), you consent to these Terms. If you’re accepting these Terms on behalf of an organization or legal entity, you confirm that you have the authority to do so. If you lack this authority, or if you disagree with these Terms, you must not accept them and refrain from using the Services.
During any evaluation phase or product trial (“Evaluation”), your use of the Services is subject to these Terms. It’s important to note that during an Evaluation, the Services are provided “as is”, without warranties of any kind. Data or content you upload during the Evaluation could be irretrievably lost once the Evaluation concludes. If you continue using the Services post-Evaluation, these Terms will govern your continued use.
Access to the Services is forbidden if you are a direct competitor of CounselCopilot, or if you intend to monitor, benchmark, or assess the Services for competitive purposes.
Please review these Terms carefully to ensure you fully understand each provision. These Terms include a mandatory arbitration clause in Section 13(G) and a class action/jury trial waiver in Section 13(H), which, with limited exceptions or unless you opt-out as provided, require the use of final and binding arbitration on an individual basis to resolve disputes, rather than jury trials or class actions.
1. Services, Usage Restrictions, and User Responsibilities
(a) Subject to your compliance with these Terms, CounselCopilot grants you and your authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Services in line with provided documentation, and in compliance with all relevant laws and regulations, solely for your internal business operations. You must be at least 18 years old to use our Services, and by agreeing to these Terms, you confirm that you meet this requirement and are capable of entering into a binding agreement.
(b) Unless prohibited by law, you agree not to, nor to permit others to, engage in actions such as disassembling, reverse engineering, or otherwise attempting to discover the source code of the Services; employing bots, scrapers, or other automated means to access the Services; unauthorized copying, modification, or distribution of the Services; or any use that adversely affects CounselCopilot’s services, servers, or other users’ access to the Services.
2. Registration
Accessing CounselCopilot Services requires registration. You agree to provide accurate, current information during registration and to update this information to maintain its accuracy. CounselCopilot reserves the right to suspend or terminate accounts with inaccurate or outdated information.
You are responsible for the security of your account details and must notify CounselCopilot immediately of any unauthorized use of your account. CounselCopilot is not liable for any loss or damage from unauthorized account use.
3. Term and Termination
These Terms are effective upon your first use of the Services and remain in effect until terminated by either party. Termination can occur at any time, with written notice. Certain sections of these Terms will survive termination.
4. Intellectual Property Rights
You retain all rights to your content used in the Services, while CounselCopilot retains all rights to the Services and related intellectual property. You grant CounselCopilot a broad license to use your content as necessary to provide and improve the Services.
5. Confidentiality
Both parties agree to protect each other’s confidential information with the same degree of care used for their own confidential information, but at a minimum, reasonable care.
6. Fees and Payments
Services may be offered via subscription, with associated fees. CounselCopilot reserves the right to modify subscription plans and fees. All fees are due in advance and are non-refundable, except as explicitly stated in writing.
7. Privacy and Security
CounselCopilot commits to maintaining the security and integrity of user data in line with our Privacy Policy. Users can opt out of data collection as specified in the Privacy Policy.
8. Representations and Warranties
Both parties warrant that they have the authority to enter into these Terms. CounselCopilot disclaims all other warranties, express or implied, to the maximum extent permitted by law.
9. Limitations of Liability
Except in cases of fraud or willful misconduct, CounselCopilot’s liability is limited, and in no event shall it include indirect, incidental, or consequential damages.
10. Modifications to These Terms
CounselCopilot may revise these Terms and will provide notice of such changes. Continued use of the Services following notice constitutes acceptance of the new Terms.
11. Account Inactivity and Termination
CounselCopilot may delete data from inactive accounts or upon account termination, in accordance with our data retention policies.
12. Third-Party Websites
CounselCopilot is not responsible for the content or practices of third-party websites linked to from the Services.
13. General Provisions
This section outlines miscellaneous legal terms, including the relationship between the parties, force majeure, assignment, waiver, governing law, and dispute resolution.
- Arbitration: Disputes under these Terms will be resolved through binding arbitration, with limited exceptions.
- Class Action/Jury Trial Waiver: Parties waive the right to participate in class actions or jury trials.
